1. Acceptance of Terms

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Ace is an AI-powered assistant designed for construction professionals. The Service helps you manage emails, documents, daily reports, tasks, and other construction-related work through a web interface and SMS messaging. Ace uses artificial intelligence to process your requests and generate responses, but it is a tool — not a substitute for professional judgment. You are responsible for reviewing and verifying all AI-generated content before relying on it.

3. Accounts

To use the Service, you must create an account using a valid email address or Google sign-in through our authentication provider, Clerk. You agree to:

• Provide accurate and complete account information.
• Keep your login credentials secure and confidential.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Pricing and Payment

Ace is offered as a subscription service at $200 per seat per month. A "seat" represents one user account with full access to the Service.

• We may offer a free trial period for new users. Trial terms will be communicated at sign-up.
• Subscription fees are billed monthly and are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing cycle.
• Payments are processed securely through Stripe. We do not store your credit card information directly.

5. SMS Consent and Communications

By providing your phone number and opting in to SMS features, you consent to receiving text messages from Ace. These messages include AI-generated responses, task notifications, and service-related communications.

• Message and data rates may apply depending on your mobile carrier and plan.
• Message frequency varies based on your usage.
• Text STOP to any Ace message to opt out of SMS communications.
• Text HELP for assistance, or email hello@tryace.bot.

Opting out of SMS will not cancel your account but may limit your ability to use certain features of the Service.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Submit or generate content that is fraudulent, misleading, defamatory, or harmful.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Interfere with or disrupt the Service or its infrastructure.
• Use the Service for any purpose other than legitimate construction-related business activities.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or redistribute access to the Service without our written consent.

We reserve the right to suspend or terminate access for users who violate these guidelines.

7. Intellectual Property

Our IP: The Service, including its design, code, branding, and underlying technology, is owned by Ace and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your content: You retain ownership of the content you submit to the Service, including messages, documents, and data. By using the Service, you grant us a limited, non-exclusive license to process your content solely to provide and improve the Service. We do not use your content to train AI models.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Ace is an AI tool. AI-generated content may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving all content before use in any professional, legal, or safety-critical context.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, data loss, or business interruption.
• Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

9. Termination

You may cancel your subscription and close your account at any time by contacting us at hello@tryace.bot.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Service will cease immediately. You may request a copy of your data within 30 days of account closure, after which we may delete it.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
